Terms of Service

In these Terms of Service, the following definitions apply:

• “ChuksForge”, “we”, “us”, “our”: ChuksForge AI Solutions Ltd, RC No. 9523804, a company incorporated under the laws of the Federal Republic of Nigeria
• “Services”: all products, software, APIs, consulting engagements, messaging services, the client portal, the BOS app, and other technology services provided by ChuksForge
• “BOS”: the Business Operating System app for Nigerian businesses, available as a web app and, when released, as mobile apps, together with its chat, notifications and API
• “Client”, “you”: any individual or organisation that accesses or uses our website, our client portal or BOS, engages our services, or enters into a contract with ChuksForge. Where these terms address BOS specifically, “you” means the BOS Account Owner or, where the context requires, an authorised Staff Member (Section “BOS: Eligibility and Your Account”)
• “Platform”: any software product, SaaS application, or web-based tool operated by ChuksForge, including BOS, our client portal, and internal tooling
• “Engagement”: a formal project or service agreement between ChuksForge and a Client, governed by a Statement of Work or Engagement Letter. BOS subscriptions are not Engagements and are governed by the BOS-specific sections below and by the Payment and Fees section that applies to them
• “Content”: any data, text, documents, voice recordings, or materials submitted to or processed by our Services, including the business records a BOS user enters or generates through BOS
• “Your Customer Data”: personal data about a BOS user's own customers, staff, debtors or suppliers that the user enters into BOS

By accessing our website, creating or using an account on our client portal or on BOS, using any ChuksForge software or API, engaging our consulting services, or interacting with any messaging service we operate, you agree to be bound by these Terms of Service and our Privacy Policy.

If you are accepting these terms on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation. If you do not agree to these terms, you must not use our Services.

For formal client engagements, these Terms of Service are supplemented by, and in cases of conflict superseded by, the specific Engagement Letter or Statement of Work agreed between the parties. For BOS, these Terms of Service, together with the Privacy Policy and any tier-specific terms shown in the app at sign-up, are the entire agreement between you and ChuksForge for your use of BOS.

ChuksForge provides technology services including but not limited to:

• BOS, a business-management app for Nigerian MSMEs, covering sales and expense recording, stock, debt tracking, receipts and invoices, reports and insights, and a subscription programme, together with a referral and agent programme
• Artificial intelligence systems engineering, including design, development, and deployment of AI-driven software systems and machine learning models
• Full-stack software development, including web applications, mobile applications, APIs, and cloud-based platforms
• Technology consulting, digital transformation advisory, and systems architecture services
• Data analytics, data science, and business intelligence solutions
• Automation systems, workflow automation, and enterprise integration
• SaaS product development, licensing, and commercialisation
• Training, capacity building, and technical education in AI and software engineering
• Managed services, technical support, and ongoing system maintenance

The specific scope, deliverables, timelines, and fees for a client Engagement are set out in the relevant Engagement Letter or Statement of Work. BOS is offered directly to businesses under these Terms and is not an Engagement.

Access to our website at chuksforge.com is provided free of charge and without registration. You may browse the site and submit enquiries subject to these terms.

You agree not to:

• Scrape, crawl, or systematically extract content from our website without written permission
• Attempt to gain unauthorised access to any part of our website or its underlying infrastructure
• Submit false, misleading, or fraudulent information through our contact forms or client portal
• Use our website in any way that violates applicable Nigerian or international law
• Transmit viruses, malware, or any other harmful code through our website

We reserve the right to restrict or terminate access to the website at our discretion, without notice, for any conduct that violates these terms or that we determine is harmful to us, our clients, or third parties.

BOS is intended for use by businesses and by adults acting on their behalf. By creating a BOS account you confirm that you are at least 18 years old and are using BOS for a genuine business.

Signing up and signing in

• A BOS account is tied to a mobile phone number, which is your login. You are responsible for the accuracy of the phone number you register and for keeping it under your control
• BOS signs you in using a one-time code sent by SMS or, where SMS fails, by a WhatsApp authentication message. You are responsible for any activity that occurs through your account once you have received and used a valid code
• You must keep your device and, on the web app, your browser session secure. If you believe your account has been accessed without authorisation, tell us as soon as possible

The Account Owner and Staff Members

• The person or business that registers a BOS account (the “Account Owner”) controls that account, including its subscription tier, branches, and any staff linked to it
• An Account Owner may link Staff Members to the account, and may assign each to a branch. A Staff Member's access can be revoked by the Account Owner at any time
• A Staff Member signs in with their own phone number, but the business records they enter are attributed to, and belong to, the Account Owner's business, not to the Staff Member personally
• The Account Owner is responsible for what its Staff Members do in BOS, and for having any authorisation from a Staff Member that is required by law before linking them to the account

Branches

Where an Account Owner registers more than one branch, records are tagged to the branch where they were entered. BOS shows the branch you are currently working in for reports, briefings and summaries where more than one branch exists, and lets you switch between branches. It is your responsibility to record each transaction against the correct branch.

BOS lets you record sales, expenses, stock, debts, accounts, and details of your own customers, staff and suppliers (“Your Customer Data”), and to generate receipts, invoices, device receipts, exports and reports from them.

• You own the business records you enter into BOS, and, as between you and ChuksForge, you own Your Customer Data. ChuksForge processes it on your behalf to provide BOS, as described in the Privacy Policy.
• Where BOS handles personal data about your own customers, staff or debtors, you are the data controller of that data and ChuksForge is your data processor. You are responsible for having a lawful basis to collect and use it, and for meeting any obligations you have to those people under the Nigeria Data Protection Act 2023, including telling them what you hold and why where the law requires it.
• You are responsible for the accuracy of what you enter into BOS, whether typed, spoken, or imported from a spreadsheet. BOS assists with recording and interpreting entries; it does not audit or verify them, and figures shown as balances, cash flow or accounts reflect only what has been entered
• You will not use BOS to record fraudulent transactions, to launder the proceeds of crime, or to create records intended to mislead a lender, a tax authority, or any other third party
• Accounts you set up in BOS to track cash, bank or mobile-money balances are figures you enter yourself. BOS does not connect to your bank and does not verify these figures against any bank record
• You are responsible for backing up any records you need outside BOS. We provide an export feature, and encourage you to use it periodically
• Receipts, invoices and device receipts you generate are your own documents; you are responsible for what you put on them and for sending them to the right recipient

Where you upload a logo, a spreadsheet, or any other file to BOS, you confirm that you have the right to use it and that it does not infringe any third party's rights.

BOS uses AI-assisted processing, described in the Privacy Policy, to interpret what you type or say and turn it into a structured record, and uses its own software to produce reports, forecasts and scores from your records.

• When you send a voice note, it is transcribed by a third-party speech-to-text service and then processed by BOS to extract the record you intended. The audio itself is not stored by us
• AI-assisted interpretation can misread what you said or typed. Review what BOS records, especially amounts, item names and customer names, and correct anything that is wrong; BOS lets you correct or reverse an entry
• Reports, briefings, business health scores, cash-flow forecasts, restock predictions and similar insights are calculated from your own records by our software. They are provided to help you make your own decisions and are not financial, tax, legal or investment advice, and are not a guarantee of any future result
• A financing eligibility result is not a loan offer, an approval, or a promise of one, and does not evaluate your creditworthiness for any lender

BOS may tell you, from your own records, that you appear to fit simple criteria for a financing referral, or may suggest a supplier when stock runs low. Both are optional.

• Before anything is shared for a financing referral, BOS shows you exactly what would be shared and with whom, and shares it only if you say yes within the time given. If you agree, we record that you consented
• The financing partner, not ChuksForge, decides whether to make you an offer, and any resulting loan or repayment obligation is between you and the partner, on the partner's own terms
• ChuksForge is not a lender, a credit intermediary, or a party to any financing arrangement made through a referral, and is not responsible for a partner's decisions, terms, or conduct
• A supplier suggestion is informational. ChuksForge is not a party to, and takes no responsibility for, any transaction you enter into with a suggested supplier. Some suggested suppliers have a commercial relationship with ChuksForge, as described in the Privacy Policy

• BOS is designed to let you keep recording sales and expenses with a weak or no connection, and to sync them once you are back online. An entry that cannot be sent for an extended period, or that BOS declines, is set aside on your device for you to review; you are responsible for reviewing it
• We aim to keep BOS available and to communicate planned maintenance in advance where practicable, but we do not guarantee uninterrupted availability, and we are not liable for downtime caused by your network, your device, a third-party infrastructure provider, or circumstances outside our reasonable control
• Support is provided through the channels shown in the app or on our website. We do not guarantee a specific response time for a free-tier account

Where ChuksForge operates a software platform on behalf of a client organisation other than BOS, access is granted to authorised users of that client pursuant to the relevant service agreement.

Our client portal allows prospective and active clients to create an account, submit project briefs, and view proposals and documents we share with them. Accounts are personal to the individual who creates them and are intended for business use in connection with a genuine or prospective engagement with ChuksForge.

Authorised users of these platforms, and of the client portal, agree to:

• Use the platform only for its intended business purpose as specified in the service agreement, or, for the client portal, in connection with a genuine or prospective engagement
• Maintain the confidentiality of their access credentials and not share them with unauthorised parties
• Not attempt to reverse-engineer, decompile, or derive source code from the platform
• Not use the platform to store or process data that is unlawful, harmful, or in breach of third-party rights
• Report security vulnerabilities or suspected data breaches to ChuksForge immediately

ChuksForge aims to maintain platform uptime consistent with the service agreement. Scheduled maintenance windows will be communicated in advance where practicable. We are not liable for downtime caused by third-party infrastructure providers, force majeure events, or circumstances outside our reasonable control.

Where ChuksForge provides API access as part of a service or product, including the BOS API used by the BOS apps, the following terms apply:

• API keys and access tokens are issued to specific organisations, individuals or accounts and must not be shared or redistributed
• API access is subject to rate limits and fair use policies specified in the relevant service agreement or API documentation, or, for the BOS API, enforced automatically to protect the service for all users
• You may not use our APIs to build services that compete directly with ChuksForge products without written agreement
• We reserve the right to revoke API access for misuse, breach of these terms, or non-payment
• API endpoints may be versioned; we will provide reasonable notice before deprecating a version

ChuksForge previously operated BOS as a WhatsApp-based chatbot; that use is being discontinued. WhatsApp is now used only to deliver a one-time login code where SMS delivery has failed, as described in the Privacy Policy. ChuksForge may also operate other WhatsApp Business API-powered services and messaging-based platforms for business clients. Users of any messaging service we operate agree that:

• Messaging services are operated in compliance with the WhatsApp Business Policy and Meta Platform Terms. Use of these services is subject to those policies in addition to these Terms
• You will not use a ChuksForge-operated messaging service to send spam, unsolicited commercial messages, or content that violates applicable law or Meta's platform policies
• Message content submitted to automated systems is processed by AI and may not always be accurate. Users are responsible for verifying critical business information before relying on it
• ChuksForge does not guarantee the delivery, timing, or availability of messaging services, which depend in part on Meta's infrastructure and the recipient's device
• A BOS login code is sent only when you request one by attempting to sign in; there is nothing to opt out of beyond not requesting a code. For any other messaging service we operate on your behalf for your own customers, the opt-out mechanism (if any) is as described for that service

Formal engagements between ChuksForge and a client are governed by a written Engagement Letter or Statement of Work agreed between the parties, which sets out scope, deliverables, milestones, fees, and timelines. These Terms of Service apply to all engagements in addition to that document.

Clients agree to:

• Provide timely access to information, systems, and personnel reasonably required for ChuksForge to deliver the engagement
• Review and provide feedback on deliverables within agreed timelines; delays caused by the client may affect project timelines and fees
• Make payments in accordance with the agreed schedule; late payments may incur interest at the rate specified in the Engagement Letter
• Not engage ChuksForge employees or contractors directly for a period of 12 months following the conclusion of an engagement without written agreement

ChuksForge agrees to deliver services with reasonable skill and care, consistent with professional standards in the technology industry, and to communicate proactively about risks, delays, or scope changes.

ChuksForge IP: All intellectual property in our internal tools, frameworks, methodologies, reusable components, and pre-existing software (“ChuksForge IP”), including BOS itself and the software behind it, remains the exclusive property of ChuksForge. We grant clients a non-exclusive licence to use ChuksForge IP embedded in their deliverables for their own business purposes, and BOS users a non-exclusive, non-transferable licence to use BOS for their own business purposes for as long as their account is active and in accordance with these Terms.

Client IP: All intellectual property owned by the client prior to or independent of the engagement (“Client IP”) remains the property of the client. ChuksForge will have no claim to Client IP. Your business records and Your Customer Data in BOS are yours, as described above; ChuksForge claims no ownership of them.

Deliverables: Unless otherwise specified in the Engagement Letter, intellectual property in custom deliverables developed specifically for a client (excluding embedded ChuksForge IP) transfers to the client upon receipt of full payment for the engagement.

Open-source components: Where deliverables or BOS incorporate open-source software, such components remain subject to their respective open-source licences. ChuksForge will identify material open-source dependencies in project documentation where relevant.

Portfolio rights: Unless the client requests otherwise in writing, ChuksForge reserves the right to reference an engagement, or BOS as a product, in our portfolio and marketing materials in a manner that does not disclose confidential client information or any individual BOS user's business records.

• BOS is offered on a free tier and on paid subscription tiers with additional features and higher usage limits, as shown in the app. Fees and what each tier includes may change; we will show you the current fees before you upgrade or renew
• Paid subscriptions are billed monthly or annually as you choose, through our payment providers (Paystack or Flutterwave). We do not store your full card details
• A monthly or annual subscription renews automatically at the end of its period unless you cancel before renewal. You can see your renewal date and cancel from within the app
• Fees already paid for a subscription period are non-refundable, including where you cancel, downgrade, or stop using BOS partway through a paid period, except where required by applicable Nigerian consumer protection law or where ChuksForge agrees otherwise in writing
• If a payment for a renewal fails or is not received, your account may be moved to the free tier and lose access to paid-tier features until payment is made; your records are not deleted for this reason alone
• You are responsible for any tax applicable to your subscription under Nigerian law

This section applies to formal client Engagements, not to BOS subscriptions, which are covered above. Fees for Engagements are set out in the relevant Engagement Letter or Statement of Work. Unless otherwise agreed:

• Invoices are due within 14 calendar days of issue
• Late payments beyond 30 days may attract interest at 5% per annum above the Central Bank of Nigeria's prevailing Monetary Policy Rate
• ChuksForge reserves the right to pause or suspend work on an engagement where payment is materially overdue
• Fees for consulting engagements and assessments are non-refundable once the engagement has commenced
• Any taxes applicable to our services (including VAT where applicable) are the responsibility of the client unless otherwise stated

For the AI Readiness Assessment and similar advisory services, full payment is required before work commences. The assessment fee is credited against the fees of any subsequent project engagement initiated within 90 days.

Both parties agree to treat as confidential any non-public information disclosed by the other party in the course of an engagement (“Confidential Information”), including but not limited to business plans, technical specifications, financial data, client lists, and proprietary processes. For BOS, your business records and Your Customer Data are treated as your Confidential Information, handled by ChuksForge as described in the Privacy Policy.

Confidential Information shall not be disclosed to third parties without the disclosing party's written consent, except where required by law or regulatory authority. Both parties will use Confidential Information solely for the purpose of the engagement, or, for BOS, solely to provide and improve the service.

This obligation survives termination of the engagement, or of a BOS account, for a period of 3 years, except for trade secrets which are protected indefinitely.

You agree not to use any ChuksForge service, including BOS, to:

• Violate any applicable local, national, or international law or regulation
• Engage in fraud, misrepresentation, or deceptive practices, including recording fraudulent transactions or falsified figures
• Infringe the intellectual property rights, privacy rights, or other rights of any third party
• Transmit spam, malware, or any content designed to harm systems or users
• Attempt to gain unauthorised access to any system, network, or data, including another BOS user's account or data
• Process personal data, including Your Customer Data, in violation of applicable data protection laws
• Use AI-powered features to generate harmful, illegal, defamatory, or discriminatory content
• Interfere with or disrupt the integrity or performance of our Services or infrastructure, including by attempting to bypass BOS's usage limits or rate limits
• Resell, sublicense, or provide BOS access to a business other than your own without our written agreement

Our website and BOS are provided “as is” and “as available” without warranties of any kind. We make no representation that they will be uninterrupted, error-free, or free of harmful components.

AI-powered features within our products, including BOS's message interpretation, voice transcription, reports and insights, process inputs and generate outputs based on statistical models. Outputs may be inaccurate, incomplete, or inappropriate for specific purposes. You are responsible for reviewing and validating AI-generated content, and any figure BOS calculates from your records, before relying on it for business, financial, tax or legal decisions.

BOS is a record-keeping and reporting tool. It is not a bank, a licensed financial institution, an accountant, or a source of financial, tax or legal advice, and any figures it shows reflect only what has been entered into it.

For formal client engagements, ChuksForge warrants that services will be delivered with reasonable skill and care consistent with professional standards. This warranty is limited to the specific deliverables described in the Engagement Letter.

To the maximum extent permitted by Nigerian law, ChuksForge shall not be liable for:

• Indirect, incidental, consequential, or punitive damages arising from use of our Services, including BOS
• Loss of profits, revenue, data, business opportunity, or goodwill
• Damages resulting from reliance on AI-generated outputs, or on a report, forecast or score calculated by BOS, without appropriate verification
• Damages resulting from inaccurate entries you or a Staff Member made in BOS, or from a decision by a financing partner or supplier reached through a referral described above
• Loss of data you did not export, where BOS behaved as described in these Terms and the Privacy Policy
• Service interruptions caused by third-party infrastructure providers, force majeure events, or circumstances outside our reasonable control

Where liability cannot be excluded by law, ChuksForge's total liability to a client in connection with any engagement shall not exceed the total fees paid by that client to ChuksForge in the 12 months preceding the claim. For a BOS account, ChuksForge's total liability to you shall not exceed the subscription fees you paid for BOS in the 12 months preceding the claim, or 50,000 Naira if you are on the free tier.

You agree to indemnify and hold harmless ChuksForge, its directors, employees, and contractors from and against any claims, losses, damages, and expenses (including reasonable legal fees) arising from:

• Your breach of these Terms of Service
• Your misuse of our Services or violation of applicable law
• Content or data you submit to our Services that infringes third-party rights
• Your handling of Your Customer Data, including any failure to meet your own obligations as a data controller under applicable data protection law
• Any claims brought by your end users relating to services we build on your behalf, or by your customers relating to Your Customer Data

By the client or BOS user: Clients may terminate an Engagement in accordance with the notice provisions in the Engagement Letter. Fees for work completed prior to termination remain payable. Client portal accounts, and BOS accounts, may be closed at any time by request, using the export and delete tools described in the Privacy Policy or by writing to us.

By ChuksForge: We may suspend or terminate access to our Services, an Engagement, or a BOS account immediately if you materially breach these Terms or an Engagement Letter, become insolvent, use BOS for a prohibited purpose under Section 18, or engage in conduct that poses risk to our systems or other users. We will provide written notice of termination where practicable.

Effect of termination: Upon termination, access to platforms, the client portal, BOS and APIs will be revoked. For a BOS account, what happens to your data is described in the Privacy Policy's Section on your rights: broadly, you can export your data at any time before termination, and deleting your account removes what is described there, subject to what we are required to keep. For other Engagements, ChuksForge will make client data available for export for 30 days following termination, after which it will be deleted unless legally required to be retained.

These Terms of Service are governed by the laws of the Federal Republic of Nigeria. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.

Before initiating formal legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days. Where negotiation fails, disputes may be referred to mediation under the Lagos Court of Arbitration rules before litigation, where both parties agree in writing. Nothing in this section limits a consumer's right to complain to the Nigeria Data Protection Commission or another competent regulator, or removes a right that cannot lawfully be waived under Nigerian law.

We may update these Terms of Service from time to time. Material changes will be communicated by updating the “Last Updated” date on this page and, for active clients and BOS accounts, by email, SMS or in-app notification with at least 14 days' notice before the changes take effect.

Continued use of our Services, including continuing to use BOS or renewing a BOS subscription, after the effective date of updated terms constitutes acceptance of the revised terms.

What changed on 21 September 2026

• BOS is now offered as an app and web app; the sections on WhatsApp were updated to reflect that WhatsApp is used only to deliver a login code, not to operate BOS
• Added dedicated BOS sections: eligibility and accounts (including Staff Members and branches), your business records and content, AI features, financing and supplier referrals, availability and offline use, and subscription billing
• Added terms describing your responsibility, as a data controller, for the customers, staff and suppliers you record in BOS
• Added a BOS-specific limitation-of-liability figure for free-tier accounts
